These Terms & Conditions (“Terms”) govern your access to and use of the TRIOPilot platform (the “Service”), operated by Tamahagane, LLC (“TRIOPilot,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

TRIOPilot is a cloud-based case-management and reporting platform for Federal TRIO programs, including participant management, contact logging, document storage, and Annual Performance Report (APR) reporting. We may add, change, or discontinue features of the Service from time to time.

2. Accounts and eligibility

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your sign-in credentials and for all activity that occurs under your account. You must be authorized by your TRIO program or institution to use the Service, and you must be of legal age to enter into these Terms. Notify us promptly of any unauthorized use of your account.

3. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable law, including FERPA.
  • Access, or attempt to access, data or accounts you are not authorized to access.
  • Upload data you do not have the rights or necessary consent to provide.
  • Interfere with, disrupt, probe, or attempt to circumvent the security of the Service.
  • Scrape, reverse engineer, or copy the Service except as expressly permitted.

4. Text messaging

The Service includes optional text-messaging features that programs may use to communicate with participants who have opted in. Programs are responsible for obtaining and maintaining valid consent from recipients before sending messages and for complying with all applicable laws governing text messaging.

  • Message and data rates may apply.
  • Recipients may reply STOP to opt out at any time, or HELP for help.

Mobile information is never sold, rented, or shared with third parties or affiliates for marketing or promotional purposes. For full details, see the Text messaging section of our Privacy Policy.

5. Program data and privacy

As between you and us, your program retains ownership of the participant and program data it enters into the Service. You grant us a limited license to host, process, and transmit that data solely to provide and improve the Service. We handle personal information as described in our Privacy Policy and consistent with FERPA. You are responsible for ensuring you have a lawful basis and any required consent to provide participant data to the Service.

6. Intellectual property

The Service, including its software, design, and the TRIOPilot name and logo, is owned by Tamahagane, LLC and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service except as expressly permitted.

7. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. You are responsible for the accuracy and completeness of the data you enter and of any reports, including APR submissions, you generate from the Service.

8. Limitation of liability

To the maximum extent permitted by law, Tamahagane, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

9. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends; provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, and governing law) will survive.

10. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Florida.
